1. Seller and scope
ValuEdge.AI is a trading name of SDK International Limited (“SDK”, “we”, “us”, “our”), a company registered in England and Wales under company number 09705619, with registered office at 320 Firecrest Court, Centre Park, Warrington, England, WA1 1RG. Contact: info@valuedge.ai. These Terms govern use of the website and the purchase of any digital products, downloadable materials, bespoke reports or consultancy services made available through it.

2. What we offer
We offer two categories of paid offerings through the website: (a) digital products, including prompt libraries, toolkits, templates and related downloadable files; and (b) bespoke services, including valuation reports, executive summaries, investment memoranda and related consulting outputs prepared using information supplied by the client.

3. Orders, pricing and payment
Orders are placed online and payment is taken at checkout through our payment processor. Prices are shown on the website or at checkout in the applicable currency and may include VAT where required. A contract is formed when payment is successfully processed and, depending on the offering, the digital product is made available for download or we confirm acceptance of the service order.

4. Delivery and client responsibilities
Digital products are typically delivered immediately by download link, confirmation page, email or account access. Bespoke services are usually delivered electronically after we receive the information reasonably required to perform the work. Any delivery timing shown on the website is an estimate only. You are responsible for providing accurate contact details, checking compatibility of your systems and supplying complete, accurate and lawful information where a bespoke service depends on your inputs.

5. Digital products: licence and use
Purchase of a digital product grants a limited, non-exclusive, non-transferable, non-sublicensable licence for your personal use or internal use within one organisation, unless we agree otherwise in writing. You may not reproduce, redistribute, resell, share outside your organisation, upload to a public repository, remove copyright notices or present the materials as your own. All intellectual property rights remain owned by or licensed to SDK International Limited.

6. Digital products: cancellation and refunds
Our digital products are supplied electronically. If you request immediate access, download or delivery before the end of any applicable cancellation period, you expressly agree to immediate supply and acknowledge that you may lose any statutory right to cancel once supply begins. Except where required by law, refunds are not offered for change of mind, mistaken purchase or failure to read the product description. Nothing in these Terms limits your statutory rights in relation to digital content that is faulty, inaccessible, corrupted or materially not as described.

7. Bespoke services: scope, cancellation and revisions
Bespoke services are prepared using the information you provide and are not treated in the same way as instant-download products. If you are a consumer and applicable law gives you a right to cancel a distance service contract, nothing in these Terms excludes that right. Where you expressly request that we begin work during the cancellation period, we may charge a proportionate amount for work carried out up to cancellation where permitted by law. If a delivered bespoke report does not materially match the agreed scope, please notify us promptly and we will review reasonable revisions in good faith within the original scope of work.

8. Professional disclaimer
All website content, digital products and bespoke outputs are provided for educational, informational and workflow-support purposes only. They do not constitute financial, accounting, tax, legal, regulatory, valuation, investment or other professional advice, and must not be relied upon as a substitute for professional judgment. We do not arrange or execute transactions, and nothing on the website is a financial promotion or recommendation to invest.

9. AI and output disclaimer
Where any product or workflow is used with AI systems, language models or automation tools, outputs may vary by prompt, data, model behaviour or platform changes. You remain solely responsible for verifying assumptions, calculations, interpretations and final outputs before relying on them or issuing them to third parties.

10. Limitation of liability
Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation or any liability that cannot lawfully be excluded. Subject to that, and to the fullest extent permitted by law, we are not liable for indirect or consequential loss, loss of profits, revenue, business, goodwill, contracts, data or opportunity. Our total aggregate liability in connection with any product or service shall not exceed the amount paid for the relevant product or service.

11. Governing law and contact
These Terms are governed by the laws of England and Wales and disputes shall be subject to the courts of England and Wales, except where mandatory consumer law provides otherwise. Questions about these Terms may be sent to info@valuedge.ai.
